VZones Software License Agreement

1. By installing this "VZones Software" and using it to participate in the VZones services, you agree to the following agreement between you and Stratagem Corporation, a Delaware corporation ("Stratagem"):

2. License and Restrictions.
You may use this Software on your personal computer or a computer of which you are the primary user. The Software is copyrighted and title to all copies is retained by Stratagem and its licensors. You may copy this Software for back-up purposes. You must cause all copyright and other proprietary rights notices contained in or affixed to the Software to be reproduced or applied, as applicable, and maintained on any copy of the Software. You shall not modify, decompile, disassemble, decrypt, extract, or otherwise reverse engineer the Software. Except for the limited right specified above, the Software may not be copied in any other manner. The Software may not be transferred, leased, assigned, or sublicensed, in whole or in part. The Software remains the property of Stratagem and its licensors. You may terminate this License at any time by destroying all copies of the Software. This License will terminate immediately without notice from Stratagem if you fail to comply with any provision of this License, if your access to VZones is terminated or if the VZones Service is discontinued. Upon termination, you must destroy or erase from your computer all copies of the Software.

3 . No Warranty.
You are solely responsible for the installation and use of the Software and for achieving your intended results. The Software is provided "AS IS," and AS AVAILABLE, without a warranty of any kind. ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED.

3. Limitation of Liability.
IN NO EVENT SHALL STRATAGEM AND ITS LICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THEORY OF LIABILITY, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF STRATAGEM AND ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

4. Indemnification.
You agree to indemnify and hold STRATAGEM, its affiliates, licensors, licensees, content providers, employees and agents harmless from any liabilities, claims and expenses, including reasonable attorneys fees, caused by or arising out of any breach of this License YOU ACKNOWLEDGE THAT YOU HAVE READ THIS LICENSE AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS. IF YOU DISAGREE, PLEASE ERASE THE SOFTWARE FROM YOUR COMPUTER.
